His session addresses the practical issues in forming and operating a board of directors for an ESOP company. Discussed will be management and the ESOP trustee role in forming the board and nominating directors. The practical aspects of a board, including director duties and expectations, how to conduct a board meeting, board compensation, and other similar issues will be addressed . The goal will be to help ESOP companies consider how to get the most from their board.

The presentation will walk through the entire process of the transaction and provide insight on how the deal was structured, negotiated and executed. The discussion will focus on how key economic terms were identified and negotiated by the parties to reach a deal.

Distribution Policy and Diversification – Options & Impact on Repurchase Obligation & Benefit Levels
This interactive session will focus closely on ESOP distribution and diversification rules. Attendees will learn the statutory rules, what options are available (and legal) in terms of changing these policies, and the long-term implications of plan design choices related to distribution policy and diversification on both repurchase obligations as well as participants’ benefit levels.
