Paul S. Fusco is a Principal at SES Advisors’ sister law firm of Steiker, Greenapple & Fusco, P.C. and a part of our ESOP Advisory team. His practice focuses on advising corporations, shareholders, directors and ESOP trustees on a wide variety of ESOP-related issues, including both transactional and non-transactional. Paul’s transactional experience includes representing corporations, shareholders, trustees and lenders in ESOP transactions, including stock purchases, leveraged buyouts, mergers, acquisitions and corporate reorganizations.
Paul’s non-transactional ESOP experience includes advising ESOP companies with regard to corporate governance, succession planning, ESOP plan design and compliance, and ERISA fiduciary issues. In addition, he has represented clients in IRS and U.S. Department of Labor plan audits, as well as in the various corrections and voluntary compliance programs offered through these agencies.
Paul has also assisted clients with the design and implementation of non-qualified deferred compensation plans, including stock option plans, stock appreciation right plans, phantom stock plans, performance-based plans and restricted stock plans.
Paul received his Bachelor of Arts, summa cum laude, from the State University of New York at Albany, and a J.D., cum laude, from the State University of New York at Buffalo Law School, where he was an articles editor of the Buffalo Law Review. He previously worked for the Rochester, New York – based law firm of Boylan Code, LLP.
Paul is a member of the New York State and Monroe County Bar Associations. He is also a member of The ESOP Association and the National Center for Employee Ownership (NCEO). Paul is admitted to practice in New York and before the United States Tax Court.
